OVERVIEW

Welcome to TORAÉ.

The terms “TORAÉ,” “we,” “us,” and “our” refer to HTUT 株式会社, which operates the TORAÉ brand, website, online store, salon, and related services.

These Terms of Service, together with any policies referenced herein, govern your access to and use of the TORAÉ website, online store, products, private sales, appointments, communications, and related services collectively, the “Services.”

Our online store is powered by Shopify, which provides the e-commerce platform that enables us to offer certain Services to you.

Please read these Terms carefully before using the Services. They contain important information concerning your legal rights and responsibilities.

By visiting, interacting with, purchasing from, or otherwise using the Services, you agree to these Terms of Service and our Privacy Policy.

If you do not agree to these Terms, you should not use the Services.

Nothing in these Terms is intended to exclude or restrict any consumer right that cannot lawfully be excluded or restricted under applicable law.


SECTION 1 — ACCESS, ELIGIBILITY AND ACCOUNTS

By using the Services, you represent that you have the legal capacity required to enter into transactions under the laws applicable to you.

Where a person has not reached the age required to contract independently in their jurisdiction, use of the Services and purchases must be made with the consent of a parent, guardian, or other legally authorized person where required by law.

You may be required to provide information including your name, email address, telephone number, billing information, shipping information, and payment details.

You represent that information supplied by you is accurate, current, and complete.

If you create an account, you are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account.

You may not impersonate another person or use another person’s payment information or account without authorization.


SECTION 2 — OUR PRODUCTS

TORAÉ offers jewelry, jadeite, gemstones, house objects, and related pieces, many of which contain natural materials.

We make reasonable efforts to present our products accurately. However, photographs, videos, descriptions, measurements, colors, and other representations may vary from the appearance of a product in person.

Device displays, lighting conditions, photography, editing, viewing angle, and the natural characteristics of gemstones can affect their appearance.

Natural Jade and Gemstones

Natural jadeite, ruby, sapphire, and other gemstones are inherently individual.

Variations may include:

  • color

  • tone

  • translucency

  • veining

  • inclusions

  • mineral patterns

  • clouding

  • texture

  • polish characteristics

  • distribution of color

Such natural characteristics are not defects.

For jade products offered by a Jade Character, color family, or similar variation, photographs may represent the general appearance of that category rather than the exact stone that will be supplied.

Unless a product is expressly identified as the exact photographed piece, the item received may differ naturally from the product photographs.


SECTION 3 — ACTUAL-PIECE CONFIRMATION FOR JADE

For selected jade products, TORAÉ may send the customer photographs of the actual individual piece selected for the order before dispatch.

Where TORAÉ requests such confirmation, the item will ordinarily be held until the customer confirms the selected piece.

Customers should review the photographs carefully, including the stone’s natural color, pattern, veining, translucency, and other visible characteristics.

If the customer does not respond within three business days after TORAÉ sends the confirmation request, TORAÉ may, at its discretion:

  1. proceed with shipment of the selected piece;

  2. continue to hold the order while attempting further contact; or

  3. cancel the order and refund eligible amounts paid.

Proceeding with shipment after the three-business-day period does not convert natural variations previously disclosed into defects.

Nothing in this section limits rights relating to products that are damaged, defective, materially misdescribed, or otherwise protected under mandatory applicable law.


SECTION 4 — ONE-OF-ONE AND INDIVIDUAL PIECES

Certain TORAÉ pieces are unique and may be identified as:

  • One of One

  • Private Inquiry

  • Private Viewing

  • L’Archive

  • exceptional individual gemstone pieces

  • otherwise expressly designated unique or final sale

Such pieces may exist only once and may not be reproducible or replaceable.

One-of-one pieces are final sale for change-of-mind purposes, subject always to rights that cannot legally be excluded, including applicable rights relating to defective, damaged, or materially misdescribed goods.


SECTION 5 — GEMOLOGICAL REPORTS AND CERTIFICATION

Some TORAÉ pieces, particularly higher-value or one-of-one gemstones, may be accompanied by reports or certificates issued by independent gemological laboratories.

Where such documentation exists, TORAÉ may reproduce or summarize information stated in those reports, including information concerning:

  • gemstone type

  • weight

  • measurements

  • color

  • treatment indications

  • geographic origin

  • other gemological characteristics

TORAÉ endeavors to represent such third-party reports accurately.

Gemological opinions and conclusions remain those of the laboratory that issued the relevant report. TORAÉ does not independently guarantee conclusions reached by an independent laboratory beyond accurately representing the documentation accompanying the piece.

Not every product sold by TORAÉ includes an independent laboratory report.

The absence of a gemological report for a product does not, by itself, indicate that the product is defective.


SECTION 6 — COLLECTIBLE AND LUXURY GOODS; NO INVESTMENT REPRESENTATION

TORAÉ jewelry and gemstones are sold as jewelry, luxury goods, objects of personal enjoyment, and collectible pieces.

They are not sold as securities, investment products, savings products, or financial instruments.

Any discussion of rarity, provenance, historical significance, market interest, or collectibility should not be interpreted as a promise or guarantee of financial performance.

TORAÉ does not guarantee:

  • future appreciation

  • future market value

  • resale value

  • liquidity

  • availability of a future buyer

  • profit upon resale

  • preservation of value

Customers should make purchasing decisions based on their own preferences and circumstances and, where appropriate, obtain independent professional advice.


SECTION 7 — ORDERS

When you submit an order, you are making an offer to purchase the relevant product.

Receipt of an automated order confirmation does not necessarily constitute final acceptance of your order.

An order is accepted when TORAÉ confirms acceptance or otherwise begins fulfillment, preparation, or delivery of the order.

TORAÉ reserves the right to accept, reject, limit, or cancel an order where reasonably necessary, including in cases involving:

  • suspected fraud or unauthorized payment

  • pricing or inventory errors

  • product unavailability

  • incorrect product information

  • inability to verify customer information

  • shipping restrictions

  • legal or regulatory requirements

  • technical errors

  • other legitimate commercial or security concerns

If we cancel an order after payment has been collected, we will refund the eligible amount paid using the original payment method where reasonably possible.


SECTION 8 — ORDER CANCELLATION

Please review your order carefully before submitting it.

If you wish to cancel an order, contact us as soon as possible at info@htut.co.jp.

We will make reasonable efforts to accommodate cancellation requests, but cancellation is not guaranteed once an order has been accepted, preparation has begun, an item has been allocated, packaging has commenced, customization has begun, or shipment arrangements have been made.

Any return following delivery is governed by our Return & Refund Policy.


SECTION 9 — PRIVATE SALES AND SALON TRANSACTIONS

Certain pieces may not be offered through ordinary online checkout.

Private and high-value transactions may be arranged through:

  • private inquiry

  • direct correspondence

  • invoice

  • bank transfer

  • Shopify or another approved payment method

  • an in-person appointment

  • the TORAÉ salon in Tokyo

Private sales may include an in-person viewing or consultation before completion.

Additional transaction-specific terms may be communicated before a private sale is concluded.

If transaction-specific written terms conflict with these Terms, the more specific terms applicable to that transaction will govern to the extent permitted by law.

One-of-one and private pieces remain subject to the final-sale provisions stated in these Terms and our Return & Refund Policy.


SECTION 10 — PRICES AND PAYMENT

Prices may change without notice.

Unless otherwise indicated, the applicable price is the price presented or agreed at the time the transaction is accepted.

Prices displayed on the Japanese store may include consumption tax where indicated.

Additional charges may apply for:

  • shipping

  • insurance

  • specialist courier services

  • customs

  • duties

  • import taxes

  • other costs associated with international delivery

You agree to provide accurate and complete payment information.

You represent that you are authorized to use any payment method submitted to TORAÉ.

For private sales conducted by bank transfer or invoice, payment instructions will be supplied directly by TORAÉ.

TORAÉ may delay release or shipment of a product until payment has cleared.


SECTION 11 — PRICING AND INFORMATION ERRORS

Occasionally the Services may contain typographical errors, incorrect prices, inaccurate specifications, incorrect inventory information, or other omissions.

We reserve the right to correct such errors.

Where a material error affects an order, TORAÉ may contact you to confirm whether you wish to proceed under the corrected terms or may cancel and refund the affected order.

An obvious pricing or listing error does not obligate TORAÉ to supply a product at the erroneous price where applicable law permits correction.


SECTION 12 — SHIPPING AND DELIVERY

Delivery dates and times are estimates unless expressly guaranteed in writing.

TORAÉ is not responsible for delays caused by circumstances outside our reasonable control, including:

  • carrier delays

  • customs processing

  • severe weather

  • natural disasters

  • transportation disruption

  • governmental action

  • incorrect customer information

  • import restrictions

Tracking information will be supplied where available.

High-value pieces may require:

  • signature on delivery

  • identification

  • specialist courier service

  • insured transportation

  • direct hand delivery

  • additional security arrangements

Our separate Shipping & Delivery Policy forms part of these Terms.


SECTION 13 — RETURNS AND REFUNDS

Returns, refunds, and exchanges are governed by the TORAÉ Return & Refund Policy.

Eligible ordinary products currently have a 30-day return-request period, subject to the conditions stated in that policy.

Original shipping and delivery charges are generally non-refundable for change-of-mind returns.

Customers ordinarily bear the cost of return shipping for change-of-mind returns.

Where an item is confirmed to have arrived damaged, defective, or incorrect, TORAÉ will bear applicable return shipping costs.

One-of-one pieces are final sale for change-of-mind purposes.

Gift cards are non-refundable and are not redeemable for cash except where required by law.

Nothing in the Return & Refund Policy or these Terms excludes mandatory rights available under applicable law.


SECTION 14 — RETURN AUTHENTICATION AND SECURITY

Returned jewelry and gemstones may be inspected before a refund is approved.

TORAÉ may verify, among other things:

  • gemstone identity

  • measurements

  • weight

  • physical characteristics

  • inclusions or identifying features

  • report numbers

  • certificates

  • piece numbers

  • settings

  • condition

  • accompanying documentation

  • security records created before dispatch

Where reasonably necessary, a returned item may be examined by a gemologist or independent gemological laboratory.

A refund may be denied where legally permitted if an item has been substituted, materially altered, tampered with, damaged after delivery, or is not the original product supplied by TORAÉ.


SECTION 15 — CARE OF JEWELRY

Jewelry and natural gemstones require appropriate care.

Customers should avoid exposing jewelry to excessive force, abrasive surfaces, harsh chemicals, perfumes, household cleaners, or unsuitable cleaning processes.

Damage resulting from misuse, accidents, improper storage, unauthorized repair, or inappropriate cleaning is not considered a manufacturing defect, subject to applicable law.

For valuable or delicate pieces, please contact TORAÉ before using ultrasonic, steam, chemical, or other intensive cleaning methods.


SECTION 16 — GIFT CARDS

TORAÉ gift cards are subject to any additional terms shown when purchased or issued.

Unless required otherwise by applicable law:

  • gift cards are non-refundable;

  • gift cards cannot be redeemed for cash;

  • lost or stolen gift cards may not be replaceable unless TORAÉ can reasonably verify ownership and unused value;

  • gift cards may not be used for unlawful or fraudulent purposes.


SECTION 17 — INTELLECTUAL PROPERTY

The Services and their content, including TORAÉ trademarks, logos, names, photographs, product photography, graphics, text, designs, layouts, videos, artwork, packaging concepts, product names, and other materials, are owned by or licensed to TORAÉ or HTUT 株式会社 unless otherwise stated.

They are protected by applicable intellectual-property laws.

The Services are provided for personal, non-commercial use.

Without prior written permission, you may not reproduce, republish, distribute, modify, commercially exploit, scrape, systematically extract, or create derivative commercial works from TORAÉ content except where permitted by applicable law.

The names TORAÉ, related logos, marks, collection names, and branding may not be used in a manner suggesting endorsement, affiliation, or authorization without our permission.

Third-party marks remain the property of their respective owners.


SECTION 18 — THIRD-PARTY TOOLS AND SERVICES

The Services may include tools or functionality provided by third parties.

Such services may include payment processors, shipping providers, social-media services, analytics providers, and other technology providers.

Your use of third-party services may also be governed by the terms and privacy practices of those third parties.

To the extent permitted by law, TORAÉ is not responsible for independent third-party services outside our reasonable control.


SECTION 19 — THIRD-PARTY LINKS

The Services may contain links to websites or services operated by third parties.

TORAÉ does not necessarily control or endorse third-party websites.

If you access or transact with a third party, you do so subject to that party’s terms and policies.

Nothing in this section limits responsibility that applicable law requires TORAÉ to bear.


SECTION 20 — RELATIONSHIP WITH SHOPIFY

TORAÉ is powered by Shopify, which enables us to provide the online Services.

However, purchases from the TORAÉ store are transactions directly between you and TORAÉ / HTUT 株式会社.

Shopify is not the seller of TORAÉ products.

To the extent permitted by applicable law, Shopify is not responsible for the performance of TORAÉ’s obligations concerning products purchased from TORAÉ.

Your use of certain Shopify-powered functionality may additionally be subject to Shopify’s applicable policies.


SECTION 21 — PRIVACY

Personal information collected through the Services is handled in accordance with our Privacy Policy and applicable law.

Because Shopify provides the e-commerce platform, Shopify and other service providers may process information necessary to operate the Services, process transactions, prevent fraud, deliver products, and provide related functionality.

SECTION 22 — CUSTOMER COMMUNICATIONS AND FEEDBACK

If you voluntarily submit reviews, photographs, comments, suggestions, or other feedback to TORAÉ, you represent that you have the right to submit that content.

You must not submit unlawful, defamatory, infringing, fraudulent, abusive, or malicious material.

Unless separately agreed, submission of feedback does not create an obligation for TORAÉ to compensate you or adopt your suggestions.

Any public use of customer photographs, testimonials, or identifiable personal content by TORAÉ will remain subject to applicable privacy and other legal requirements.


SECTION 23 — PROHIBITED USES

You may not use the Services:

  • for unlawful purposes;

  • to commit fraud;

  • to submit false payment or identity information;

  • to infringe intellectual-property rights;

  • to distribute malicious code;

  • to interfere with website security;

  • to access another customer’s account without authorization;

  • to collect personal information unlawfully;

  • to harass or threaten another person;

  • to circumvent purchasing or security restrictions;

  • to misuse automated systems in a manner that disrupts or damages the Services.

TORAÉ may suspend or restrict access where reasonably necessary to protect customers, the business, the Services, or third parties.


SECTION 24 — AVAILABILITY OF THE SERVICES

We do not guarantee that the website or Services will always be uninterrupted, error-free, or continuously available.

We may temporarily suspend or modify the Services for maintenance, security, updates, technical reasons, or other legitimate operational purposes.


SECTION 25 — WARRANTIES AND STATUTORY RIGHTS

TORAÉ does not make warranties beyond those expressly stated by us or imposed by applicable law.

Descriptions concerning natural gemstones are subject to the characteristics and limitations described in these Terms.

Nothing in these Terms excludes, limits, or modifies warranties, remedies, or consumer protections that cannot legally be excluded, limited, or modified.


SECTION 26 — LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, TORAÉ, HTUT 株式会社, and their directors, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, or consequential losses arising from use of the Services where such limitation is legally permitted.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.

In particular, nothing in these Terms is intended to exclude liability for intentional misconduct, gross negligence, or any other liability that cannot lawfully be excluded or restricted under Japanese law.

Mandatory consumer rights remain unaffected.


SECTION 27 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to compensate TORAÉ for losses reasonably arising from your unlawful use of the Services, intentional violation of these Terms, infringement of third-party rights, fraud, or misuse of TORAÉ systems.

This provision does not require a consumer to indemnify TORAÉ for matters for which such liability cannot lawfully be imposed.


SECTION 28 — TERMINATION OR RESTRICTION OF ACCESS

TORAÉ may suspend, restrict, or terminate access to the Services where reasonably necessary, including where we believe there has been:

  • fraud;

  • unlawful activity;

  • security abuse;

  • misuse of accounts;

  • violation of these Terms;

  • conduct threatening the Services or other users.

Termination does not affect rights or obligations that arose before termination.


SECTION 29 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be interpreted or severed to the minimum extent necessary, and the remaining provisions will continue in effect.


SECTION 30 — WAIVER

A failure by TORAÉ to enforce a provision of these Terms on one occasion does not constitute a permanent waiver of that provision or any other right.


SECTION 31 — ENTIRE AGREEMENT

These Terms, together with the policies and transaction-specific terms incorporated by reference, constitute the agreement governing your use of the Services.

Relevant policies may include:

  • Privacy Policy

  • Return & Refund Policy

  • Shipping & Delivery Policy

  • 特定商取引法に基づく表記

  • any product-specific or private-sale terms disclosed before purchase


SECTION 32 — ASSIGNMENT

You may not transfer contractual rights or obligations arising under these Terms where doing so would be unlawful or materially affect TORAÉ without our prior consent.

TORAÉ may transfer its rights or obligations in connection with a legitimate corporate restructuring, business transfer, merger, or similar transaction, subject to applicable law.


SECTION 33 — GOVERNING LAW AND JURISDICTION

These Terms and transactions governed by them are governed by the laws of Japan, without prejudice to mandatory consumer protections that may apply under another jurisdiction’s law.

Subject to mandatory applicable law, the Tokyo District Court will have agreed jurisdiction as the court of first instance for disputes arising out of or relating to these Terms, the Services, or transactions with TORAÉ.


SECTION 34 — INTERNATIONAL CUSTOMERS

Customers ordering from outside Japan are responsible for ensuring that products may lawfully be imported into their destination country.

International orders may be subject to customs procedures, duties, taxes, brokerage charges, or other governmental fees.

Unless otherwise expressly agreed, such charges are the customer’s responsibility.

Nothing in this section overrides mandatory consumer rights that apply to an international transaction.


SECTION 35 — CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes in our Services, business practices, or applicable requirements.

The current version will be published on this page with an updated revision date.

Where required by applicable law, material changes will be communicated appropriately.

Changes will not retroactively alter completed transactions where doing so would be prohibited by law.
